1. Definitions

In these Terms and Conditions: "Axelward", "we", "our", "us" refers to Axelward, a business consulting firm operating from 19/F, Berkshire House, 25 Westlands Road, Quarry Bay, Hong Kong. "Client", "you", "your" refers to any individual or entity using our website or commissioning our services. "Services" means the consulting engagements offered by Axelward, namely Cost-Benefit Analysis, Turnaround Assessment, and Board Formation Advisory. "Agreement" means the contract formed between Axelward and the Client upon acceptance of a scope document.

2. Acceptance of Terms

By accessing this website or engaging Axelward's services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use this website or commission our services. Use of this website or engagement of our services constitutes your acceptance of these terms. You must be 18 years or older and have the legal capacity to enter into a binding agreement.

3. Service Description

Axelward provides fixed-scope business consulting services to companies and business professionals in Hong Kong and internationally. Our three services are described in full on our Solutions page. Services are provided subject to a written scope document agreed between Axelward and the Client prior to commencement.

Services are available to business entities and professionals. We do not provide services to consumers acting in a personal (non-commercial) capacity as a primary engagement type.

4. Engagement Terms

Each engagement is governed by:

• A written scope document defining deliverables, timeline, and fee
• A mutual non-disclosure agreement signed prior to information exchange
• These Terms and Conditions, which are incorporated by reference into the scope document

No engagement is considered active until the scope document has been signed by both parties and the agreed fee confirmed.

5. Fees and Payment

All fees are fixed and stated in the scope document in Hong Kong Dollars (HKD). No hourly billing applies. Fees are:

• Cost-Benefit Analysis: HK$3,600
• Turnaround Assessment: HK$6,900
• Board Formation Advisory: HK$4,200

Invoices are issued upon delivery of the final deliverable. Payment is due within 14 calendar days of invoice date. Late payment may result in suspension of further engagement work and may attract interest at the rate of 1.5% per month on outstanding balances.

Fees do not include government taxes, duties, or third-party expenses unless explicitly stated. Axelward does not charge GST or VAT as these are not applicable to the services under current Hong Kong tax law.

6. Cancellation and Changes

Clients may cancel an engagement in writing prior to the commencement of substantive work at no cost. Cancellation after work commences is subject to a fee reflecting work completed to date, assessed reasonably and communicated to the Client.

Changes to scope require written agreement from both parties. Axelward will provide a revised scope document if a requested change materially affects deliverables or timeline.

7. Confidentiality

Both parties agree to treat information shared during engagements as confidential. Axelward will not disclose client information to third parties except as required by law or as necessary to deliver the services (e.g. secure storage providers). This obligation survives termination of the engagement.

8. Intellectual Property

All deliverables produced by Axelward for a Client become the property of the Client upon receipt of full payment. Axelward retains ownership of proprietary methodologies, templates, and frameworks used in producing those deliverables. Clients receive a perpetual, non-exclusive licence to use such methodologies embedded in their deliverables for their own internal business purposes.

Clients may not resell, sublicence, or distribute Axelward deliverables to third parties without written consent.

9. Disclaimer

Axelward's services constitute professional advisory work. Deliverables are prepared on the basis of information provided by the Client and are intended to support — not replace — the Client's own judgement and decision-making. Axelward does not provide legal, tax, audit, or regulated financial advice. Where such advice is required, Clients should engage appropriately licensed professionals.

Axelward makes no representation that any outcome described in scenario analysis will be achieved. Business decisions involve factors outside the scope of any analysis.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Axelward's aggregate liability to the Client in connection with any engagement shall not exceed the total fees paid by the Client for that engagement. Axelward shall not be liable for indirect, consequential, or incidental losses arising from use of our deliverables or services.

11. Indemnification

The Client agrees to indemnify and hold Axelward harmless against claims, losses, or expenses arising from the Client's misuse of deliverables, breach of these Terms, or provision of materially inaccurate information that adversely affects the quality of Axelward's work.

12. Termination

Either party may terminate an engagement with written notice if the other party materially breaches the scope agreement and fails to remedy the breach within 10 business days of notice. On termination, the Client is liable for fees corresponding to work completed. Obligations of confidentiality and intellectual property survive termination.

13. Dispute Resolution

The parties agree to attempt to resolve any dispute arising from an engagement through direct negotiation in good faith. If unresolved within 30 days, disputes shall be referred to mediation under the Hong Kong Mediation Ordinance (Cap. 620) before any legal proceedings are commenced. These Terms are governed by the laws of Hong Kong. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.

14. Website Use

This website is provided for informational purposes. Axelward makes reasonable efforts to keep information current but does not warrant the completeness or accuracy of website content. Axelward reserves the right to modify or discontinue any part of this website without notice.

15. General

• Entire Agreement: These Terms, together with the scope document and NDA, constitute the entire agreement between the parties for the relevant engagement.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it subsequently.
• Assignment: The Client may not assign rights under an engagement without Axelward's written consent.

16. Changes to These Terms

We may update these Terms from time to time. The current version is always published on this page with the "Last Updated" date. Continued use of this website after an update constitutes acceptance of the revised Terms.
